If this ends up in court, it will not look good for either Elon Musk or Twitter. Elon Musk needs to have a better appreciation for the concept of Gambler’s ruin. If Elon Musk is not able to convince the judge the reason behind withdrawing the deal, he may be forced into paying for $44B for Twitter any way or paying a $1B or more penalty for backing out of the deal. If Elon Musk has sufficient evidence for the withdrawal, it would certainly not be good for Twitter. What was Elon Musk thinking when he waived due diligence to get the deal done quickly before signing the legally binding agreement to buy Twitter in April ?! Where was Elon Musk’s legal counsel or spouse when he needed one ?
